This agreement is between [Company legal name], registration number [NIPT / registration number], [Registered address] ("Wixotel", "we", "us"), and the business that registers a property on Wixotel ("the Partner", "you"). It sets out how we list your property, take bookings and payments for you, and provide the hotel software, and what each of us is responsible for.
1. How this agreement is made
1.1 You accept this agreement electronically when you register a property in the Wixotel hotel workspace and tick the acceptance box. The person who accepts confirms that they are authorised to bind the Partner.
1.2 We record which version you accepted, when, and by which account, and we e-mail you a complete copy. The current version is always available at https://wixotel.com/legal/hotel-agreement.
1.3 This agreement covers every property you register under your account. Where you operate several properties through different legal entities, each entity is a Partner for its own properties.
2. Definitions
- Platform: the Wixotel website, mobile apps, booking widget and hotel workspace.
- Marketplace: the public part of the Platform where travellers search for and book accommodation.
- Hotel workspace: the software for running your property (reservations, calendar, rooms, rates, housekeeping, messages, channels, finance, reports and the assistant).
- Booking: a reservation for your property made or recorded on the Platform.
- Marketplace Booking: a Booking made by a guest through the Marketplace.
- Direct Booking: a Booking made through your own booking widget, recorded by your staff, or from any other channel that is not the Marketplace.
- Online Payment: a payment a guest makes on the Platform by card, PayPal or cryptocurrency.
- Pay-at-property Booking: a Booking the guest pays directly to you.
- Commission: the fee for Marketplace Bookings described in clause 8.
- Payout: our transfer to you of Online Payments we collected for you, less the amounts described in clause 9.
- Content: everything you provide for your listing — texts, photos, prices, policies, room details and translations.
3. Our services
3.1 We provide: (a) a listing of your property on the Marketplace once approved; (b) the hotel workspace; (c) a booking widget for your own website; (d) collection of Online Payments on your behalf and Payouts; and (e) related services described on the Platform.
3.2 We continue to develop the Platform. We will not remove a feature you rely on, or materially reduce the service, without at least 30 days' notice, except where required by law, security or a payment provider.
3.3 We are an intermediary. The accommodation contract is between the guest and you; we are not a party to it and do not provide accommodation.
4. Your listing and Content
4.1 You must keep your Content accurate, complete and lawful: the property and room descriptions, the number of rooms, occupancy, amenities, prices, taxes, fees, check-in and check-out times, house rules and cancellation policies. Photos must show your actual property.
4.2 You must keep availability and prices up to date. If you also sell rooms on other channels, you are responsible for keeping calendars aligned (the workspace's calendar import and export help with this).
4.3 We review listings before they are published and may ask for changes, refuse publication, or remove Content that is misleading, unlawful, infringes the rights of others, or breaches this agreement. We tell you why.
4.4 You confirm that you hold all licences and registrations required to offer accommodation, and the rights to all Content you upload.
4.5 You grant us a non-exclusive, royalty-free, worldwide licence, for the duration of this agreement, to use, reproduce, adapt (for example resize, crop or translate) and display your Content in order to operate and promote the Platform. Uploaded photos are re-encoded and their embedded metadata (such as location) is removed.
5. Bookings
5.1 You must honour every confirmed Booking at the price and on the conditions shown to the guest when they booked. You may not charge guests extra amounts that were not shown at booking, except taxes or charges that the listing stated are payable at the property.
5.2 Overbooking and failure to provide accommodation. If you cannot accommodate a confirmed guest, you must, at your own cost, arrange comparable or better accommodation nearby, pay for the transport there, and refund or cover any price difference. Notify us and the guest immediately. Repeated failures are a serious breach (clause 19).
5.3 Your cancellation policy and house rules apply as they were shown at the time of booking. Later changes do not apply to existing Bookings.
5.4 You must answer guest messages sent through the Platform promptly, normally within 24 hours, and handle complaints in good faith.
5.5 You must not encourage guests who booked through the Marketplace to cancel and rebook outside it to avoid Commission.
6. Prices, taxes and parity
6.1 You set your prices. Prices shown to guests include VAT where applicable; tourist tax and other local charges must be configured in the workspace so that guests see them before booking.
6.2 You are responsible for all taxes on your accommodation services, for issuing tax documents to guests where the law requires, and for your obligations to register guests with the authorities.
6.3 No parity clause. You are free to offer your rooms at any price and on any conditions on other channels, including your own website.
7. Payments
7.1 Online Payments. For Online Payments we act as your limited payment collection agent and merchant of record: we collect the payment from the guest through our payment providers (currently Stripe, PayPal and NOWPayments). A guest's payment to us settles the guest's obligation to you for that amount, and you must not charge the guest again for it.
7.2 Pay-at-property Bookings. You collect payment directly from the guest and are responsible for it.
7.3 Refunds. Refunds follow your cancellation policy, the law and these terms. We send refunds of Online Payments back to the guest and deduct them from Payouts. We will not make discretionary (goodwill) refunds at your expense without your agreement, except where required by law or where the refund results from your failure to provide the Booking as described.
7.4 Disputes and chargebacks. We handle disputes with payment providers. Amounts lost to a chargeback caused by you (for example a Booking not honoured or a misdescribed property) are charged to you; card fraud on an Online Payment not attributable to you is borne by us. You must give us the information we ask for to contest a dispute within 7 days.
7.5 Card data. Card details are handled only by our payment providers. Never ask guests to send card numbers by message or e-mail.
8. Commission
8.1 For each Marketplace Booking you pay Commission at the rate shown in your workspace (Finance), which is 15% unless we have agreed a different rate with you in writing.
8.2 Commission is calculated on the amount the guest paid for the Booking through the Platform, less refunds. Where a guest cancels or does not show up and you keep a payment under your cancellation policy, Commission applies to the amount kept.
8.3 Direct Bookings are free of Commission.
8.4 For Marketplace Bookings paid at the property, we invoice the Commission monthly for stays that took place in the previous month (excluding Bookings cancelled free of charge); invoices are payable within 15 days.
8.5 We give at least 30 days' notice of any increase in the Commission rate. You may end this agreement before the increase takes effect.
9. Payouts
9.1 We pay out the Online Payments we collected for your Bookings, less Commission, refunds (including refunds that are due but not yet sent), chargebacks, and any other amounts you owe us under this agreement.
9.2 Payouts are made monthly, for the payments received in the previous calendar month, within 10 business days after the month ends, by bank transfer to an account in the Partner's name that you have verified with us. A statement of every Payout is available in your workspace.
9.3 Please check each Payout and tell us of any error within 60 days. We may hold a Payout, or part of it, for as long as reasonably necessary where we suspect fraud, during an open dispute, where your account details cannot be verified, or where required by law. We tell you the reason.
9.4 Payouts are made in the currency of your property. Your bank's charges for receiving transfers are your responsibility.
10. Software subscription
10.1 Use of the hotel workspace is billed according to the plan you choose on the Pricing page. A free trial may be offered; it ends automatically and you are told before it does.
10.2 Subscription fees are charged monthly in advance through our billing provider and exclude VAT where VAT applies.
10.3 If a subscription payment fails, we notify you and may, after reasonable notice, limit the workspace to essential functions. Existing Bookings are always honoured and remain accessible.
10.4 We give at least 30 days' notice of price increases; you may cancel before they take effect.
11. Guest reviews
11.1 Only guests who completed a stay can review it. You may answer reviews publicly and report reviews that breach our review rules; we decide on reports fairly and tell you the outcome.
11.2 We do not remove reviews because they are negative. You must not offer guests anything in exchange for reviews, write reviews of your own property or competitors, or pressure guests about their reviews.
12. Ranking in search results
12.1 When a guest searches, we show only properties that match the destination and are available for the dates and party size. Guests can sort by price, rating (a property needs at least 3 reviews to rank by rating) and official star rating. The default "recommended" order is official star rating, then the most recently published listing.
12.2 The Commission rate and subscription plan do not influence ranking. If we ever offer paid placement, we will mark it clearly and update this clause beforehand.
13. Data protection
13.1 Your guest data. For the personal data you manage in the hotel workspace (guest profiles, identity documents recorded at check-in, stays, messages and notes), you are the controller and we are your processor. The Data Processing Terms in Annex A apply.
13.2 Marketplace data. For traveller accounts and Marketplace Bookings, we and you are each independent controllers for our own purposes. We share with you the booking and contact details needed to provide the stay and meet your legal obligations. You may use them for that purpose; you may send marketing only to guests who gave consent through the Platform.
13.3 Each party complies with applicable data protection law, including the Albanian personal data protection law and, where it applies, the EU General Data Protection Regulation.
14. Accounts and security
14.1 Give each staff member their own account with the role they need, keep credentials secret, and remove access when someone leaves. We strongly recommend two-step verification for owners and managers.
14.2 You must not: misuse the Platform or attempt to access data of other properties; copy, scrape or resell the Platform; upload malicious files; or use the Platform for discrimination or any unlawful purpose.
15. Intellectual property
15.1 The Platform and everything in it other than your Content belong to us or our licensors. You receive a non-exclusive, non-transferable right to use the Platform during this agreement.
15.2 Your Content remains yours, subject to the licence in clause 4.5. Suggestions you send us may be used freely.
16. Availability and support
16.1 We aim to keep the Platform available at all times and announce planned maintenance in advance where possible, but we do not guarantee uninterrupted operation.
16.2 Support is available at [support@wixotel.com] and through the workspace. You can export your data (reservations, guests, finance) at any time.
17. Liability
17.1 Each party is responsible for its own obligations. You are responsible for the accommodation and services you provide to guests.
17.2 Neither party is liable for indirect or consequential loss, or loss of profit, revenue, data or goodwill.
17.3 Our total liability arising out of or in connection with this agreement in any 12-month period is limited to the Commission and subscription fees you paid us in the 12 months before the event giving rise to the claim.
17.4 Nothing in this agreement limits liability for fraud, wilful misconduct or gross negligence, for death or personal injury caused by negligence, for a party's payment obligations, or any other liability that cannot be limited by law.
17.5 You will compensate us for third-party claims (including from guests and authorities) arising from your accommodation services, your Content, your breach of this agreement, or your taxes.
18. Insurance
You maintain the insurance usual for accommodation providers, including public liability insurance.
19. Term, suspension and termination
19.1 This agreement starts when you accept it and continues until ended.
19.2 You may end it at any time with 14 days' notice by e-mail or from the workspace. We may end it with 30 days' notice, stating our reasons.
19.3 Either party may end it immediately, or we may suspend your listing or account, where the other party commits a serious breach (for example fraud, repeated failure to honour Bookings, unlawful Content, or serious non-payment) or where required by law. We state our reasons, and you may contest them through our complaints process.
19.4 When the agreement ends: confirmed Bookings must still be honoured (or relocated under clause 5.2) unless we agree otherwise; we make a final Payout once the related stays and refund periods have passed; you can export your data for 30 days, after which we delete it, except where the law requires us to keep it.
20. Changes to this agreement
20.1 We will notify you of changes at least 15 days before they take effect, and at least 30 days before any change to fees. You may end this agreement before a change takes effect; otherwise the new version applies from its effective date. Changes never apply retroactively.
20.2 Shorter notice may apply only where required by law or to address an unforeseen and imminent security risk.
21. Complaints and mediation
21.1 You can complain about any matter related to the Platform at [complaints@wixotel.com]. We acknowledge complaints within 2 business days and respond in substance within 15 business days.
21.2 For disputes that our complaints process does not resolve, we are willing to engage, in good faith, in mediation with either of the following independent mediators: [Mediator 1 — name, address], [Mediator 2 — name, address].
22. Confidentiality
Each party keeps confidential the other's non-public business information (for example commercial terms, finances and technical details) and uses it only for this agreement, except where disclosure is required by law.
23. Notices
We send notices by e-mail to the account owner's address and in the workspace. You send notices to [legal@wixotel.com]. Notices by e-mail take effect on the next business day.
24. Governing law and disputes
This agreement is governed by the laws of the Republic of Albania. The parties first try to resolve disputes through clause 21; otherwise [the competent courts of Tirana, Albania] have jurisdiction. This does not take away rights a Partner has under mandatory law of the country where it is established.
25. General
25.1 This agreement, with its annexes and any written commercial terms agreed with you, is the entire agreement between the parties on its subject.
25.2 If any provision is invalid, the rest remains in force. Failure to enforce a provision is not a waiver.
25.3 You may not transfer this agreement without our consent. We may transfer it to a company that takes over the Platform, with notice to you.
25.4 Neither party is liable for delays caused by events beyond its reasonable control.
25.5 The English version is binding; translations are provided for convenience.
Annex A — Data Processing Terms
These terms apply where we process personal data on your behalf (clause 13.1), in line with Article 28 of the EU General Data Protection Regulation and the corresponding Albanian law.
A1. Subject, nature and duration
We host and process guest and staff data in the hotel workspace to provide the services in this agreement, for as long as the agreement lasts and the deletion period in A8.
A2. Data and data subjects
- Data subjects: guests and their companions, and your staff.
- Data: names, contact details, nationality, identity document details recorded at check-in, stay and booking details, special requests, messages, notes, payment status (never card numbers), and account and activity data of staff.
A3. Your instructions
We process the data only on your documented instructions — this agreement and your use of the workspace — unless the law requires otherwise, in which case we tell you first where permitted.
A4. Confidentiality and security
Everyone with access is bound by confidentiality. We apply appropriate technical and organisational measures, including: encryption in transit; strict separation of each property's data enforced in the database; role-based access with two-step verification; audit logs of changes; encrypted, tested backups; and hosting in the European Union.
A5. Sub-processors
You authorise the following sub-processors: Supabase (database, authentication, file storage — EU); Hostinger (web hosting — EU); our e-mail provider (Resend or an SMTP provider) for transactional e-mails; Expo (app push notifications); Sentry (error reporting, where enabled; personal data removed before sending); Anthropic (the assistant, only when you use it); Google (address search in the workspace, only when used). Payment providers act as independent controllers for payment processing. We inform you at least 15 days before adding or replacing a sub-processor; you may object on reasonable grounds and, if we cannot resolve the objection, end this agreement.
A6. International transfers
Where a sub-processor processes data outside the EU or Albania, we ensure appropriate safeguards, such as the European Commission's Standard Contractual Clauses.
A7. Assistance and breaches
We help you respond to requests from data subjects and with security, impact assessments and consultations, taking into account the information available to us. We notify you of a personal data breach affecting your data without undue delay, and in any case within 48 hours of becoming aware of it.
A8. Deletion and return
When the agreement ends you can export your data for 30 days; we then delete it, including from backups within their normal rotation, unless the law requires us to keep it.
A9. Audits
We make available the information necessary to demonstrate compliance. You may audit our compliance once a year, with reasonable notice and at your cost, in a way that protects other partners' data and our security.
